Terms of Service
Terms of service for each user connecting Axana AI to their third-party accounting platform.
Acceptance of Terms
By creating an account, connecting to the Third-Party Accounting platform of the client, or otherwise using Axana AI (the “Service”), you agree to be bound by this End User Agreement. If you do not agree, do not use the Service.
Description of the Service
Axana AI is a cloud-based platform that integrates with the Third-Party Accounting platform of the client through the official Third-Party Accounting platform API to synchronize and automate accounting data, including customers, invoices, estimates, payments, vendors, bills, employees, time activity, items, and company information.
Authorization to Access the Third-Party Accounting Platform Data
By connecting your company’s Third-Party Accounting platform, you authorize Axana AI to access, read, and modify your Third-Party Accounting platform data through the API solely for the purpose of providing the synchronization and automation services described in this Agreement. You represent that you are authorized to grant this access for the connected company.
Permitted Use
You may use the Service only for lawful business purposes and in compliance with this Agreement, the Third-Party Accounting platform, and all applicable laws. You may not misuse, reverse-engineer, resell, or attempt to gain unauthorized access to the Service.
User Responsibilities
You are responsible for the accuracy of the data you enter, for maintaining the confidentiality of your account credentials, and for reviewing accounting entries created or modified through the Service. You are responsible for maintaining your own backups of your financial information.
Service Level (SLA)
Axana AI targets 99.9% monthly availability of the Service, excluding scheduled maintenance and events outside our reasonable control (including outages or interruptions of the Third-Party Accounting platform or its API).
Third-Party Platforms
The Service depends on the Third-Party Accounting platform API, which is not controlled by Axana AI. Axana AI is not responsible for any interruption, error, data loss, or change in functionality caused by the Third-Party Accounting platform, its API, or any change to its terms or services.
Security Incidents
Axana AI maintains reasonable administrative, technical, and physical safeguards to protect your data. In the event of a security incident that affects your data, Axana AI will notify affected users without undue delay and take reasonable steps to remediate the incident.
Limitation of Liability
To the maximum extent permitted by law, Axana AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, revenue, or profits, arising out of or related to your use of the Service, including any issues caused by the Third-Party Accounting platform. The Service is provided “as is” and “as available” without warranties of any kind, express or implied.
Cancellation and Termination
You may stop using the Service and disconnect Axana AI from your third-party accounting software at any time. Axana AI may suspend or terminate access for violation of this Agreement. Upon termination, Axana AI will cease accessing your Third-Party Accounting platform data and will delete or return your data in accordance with the Privacy Policy.
Changes to this Agreement
Axana AI may update this Agreement from time to time. Material changes will be communicated through the Service or by email. Continued use after changes take effect constitutes acceptance.
